American Family Mutual Insurance agreed to acquire all the Bowhead Specialty Holdings shares it does not already own for $34.00 each in cash, the companies said on 3 August.
Why American Family Mutual Insurance Company is buying Bowhead Specialty Holdings
American Family said Bowhead's capabilities fit its strategy of diversifying its commercial portfolio, broadening products and improving capital efficiency. Bowhead will operate as a standalone unit under chief executive Stephen Sills and keep its brand.
“Bowhead’s capabilities complement American Family’s strategy to diversify its commercial portfolio, broaden product offerings, enhance capital efficiency and drive sustainable profitable growth.”
Deal terms and financing
The price is an 11% premium to Bowhead's closing price on 31 July 2026 and values the company at about $1.2bn. American Family will pay with cash and liquid investments on hand and the deal has no financing condition.
Regulatory approvals and timing
Closing is targeted before the end of 2026, subject to regulatory approvals and a Bowhead stockholder vote; Bowhead filed its definitive proxy in October.
Market context
American Family made a founding investment in Bowhead in 2020 and owned about 14.3% of its shares at the end of 2025.
